Terms & Conditions

These Terms and Conditions ("Agreement") govern your use of the website at cerebrixas and any services provided by Cerebrix ("Company", "we", "us"). By accessing our website or engaging our services, you agree to these terms. Please read them carefully. If you do not agree, please do not use our website or services.

1. Definitions

  • "Agreement" means these Terms and Conditions in their entirety
  • "Service" means any AI consulting service offered by Cerebrix, including Anomaly Detection Systems, Knowledge Graph Construction, and AI Ethics Review
  • "User" means any individual or organisation accessing the website or enquiring about services
  • "Client" means an organisation that has entered a formal engagement agreement with Cerebrix
  • "Content" means all material on our website including text, graphics, and code
  • "Deliverable" means any output produced by Cerebrix under a service engagement

2. Acceptance of Terms

By submitting an enquiry form, entering a service engagement, or using this website, you confirm that:

  • You are at least 18 years of age
  • You have the authority to enter this Agreement on behalf of your organisation
  • You have read, understood, and agree to be bound by this Agreement

If you are acting on behalf of a company or legal entity, this Agreement binds that entity.

3. Service Description

Cerebrix provides professional AI consulting services to organisations in Malaysia and internationally. Our current service portfolio includes:

  • Anomaly Detection Systems — design, development, and deployment of machine learning models for monitoring data streams and flagging irregular patterns
  • Knowledge Graph Construction — structured organisation of unstructured data assets into queryable entity-relationship maps
  • AI Ethics Review — evaluation of AI systems against fairness, transparency, accountability, and privacy standards with remediation guidance

Service availability is subject to capacity and mutual agreement. We reserve the right to decline or discontinue engagements at our discretion.

4. Engagements and Scope

Each service engagement is governed by a separate Statement of Work (SOW) or engagement letter that specifies deliverables, timelines, fees, and responsibilities. In the event of a conflict between the SOW and this Agreement, the SOW takes precedence for that engagement.

Scope changes

Any changes to agreed scope must be documented in writing and mutually accepted. Additional scope may result in revised fees and timelines.

Client responsibilities

Clients are responsible for providing timely access to relevant data, systems, and personnel as required for delivery. Delays caused by the client may affect delivery timelines without affecting our fees.

5. User and Client Obligations

When using our website or engaging our services, you agree to:

  • Provide accurate and complete information in all communications
  • Use website content for lawful purposes only
  • Not attempt to disrupt or compromise the security or integrity of our systems
  • Not reproduce, distribute, or commercially exploit our website content without written consent
  • Maintain appropriate data governance over any information shared with us during an engagement

6. Payment Terms

All fees are quoted and payable in Malaysian Ringgit (MYR) unless otherwise stated in the SOW.

Invoicing

  • A deposit of 50% is typically required prior to commencement of work
  • The remaining balance is invoiced on delivery of final deliverables
  • Payment terms are net 14 days from invoice date unless stated otherwise

Late payment

Invoices not settled within the agreed period may incur a late fee. Cerebrix reserves the right to pause work on active engagements where payment is significantly overdue.

Refunds

Deposits are non-refundable once work has commenced. For engagements cancelled before commencement, deposits may be refunded in full at our discretion.

7. Intellectual Property

Our content

All content on this website — including text, graphics, code, and design elements — is the property of Cerebrix and protected under Malaysian intellectual property law. No part may be reproduced without prior written permission.

Deliverables

Upon full payment of all fees under an engagement, Clients receive a non-exclusive licence to use the deliverables for internal business purposes. Proprietary methodologies, frameworks, and tools developed or used by Cerebrix remain our property.

Client data

All data, documents, and materials provided by the Client remain the property of the Client. We access such materials solely to fulfil the agreed service scope.

8. Confidentiality

Both parties acknowledge that confidential information may be exchanged during an engagement. Each party agrees to:

  • Hold all confidential information in strict confidence
  • Not disclose it to third parties without prior written consent
  • Use it solely for the purposes of the engagement

This obligation survives termination of the Agreement for a period of three years, or as otherwise specified in the SOW.

9. Disclaimers

Our website and services are provided on an "as is" basis. While we work with care and professionalism:

  • We do not warrant that AI models we build will be error-free or achieve specific performance targets not expressly agreed in writing
  • We do not provide legal advice — our AI Ethics Reviews reflect technical and methodological assessment, not legal opinion
  • We are not responsible for decisions made by Clients based on deliverables or recommendations
  • Website content is for informational purposes and may not reflect the most current developments in AI

10. Limitation of Liability

To the fullest extent permitted by Malaysian law, Cerebrix's total liability to you in connection with any engagement shall not exceed the fees paid by you under that specific engagement.

We shall not be liable for indirect, incidental, consequential, or special damages, including but not limited to loss of revenue, loss of data, or business interruption, even if we have been advised of the possibility of such damages.

11. Indemnification

You agree to indemnify and hold harmless Cerebrix, its directors, and personnel from any claims, losses, or expenses arising from:

  • Your use of our website in violation of this Agreement
  • Your provision of inaccurate or misleading information during an engagement
  • Your deployment or use of our deliverables in a manner inconsistent with agreed purposes
  • Your violation of any applicable laws or third-party rights

12. Termination

Either party may terminate an engagement by providing written notice. The following applies upon termination:

  • Fees for work completed up to the termination date remain payable
  • Each party must return or destroy the other's confidential information on request
  • Sections covering intellectual property, confidentiality, disclaimers, and liability survive termination

Cerebrix reserves the right to terminate immediately for material breach, non-payment, or conduct that compromises the integrity of the engagement.

13. Dispute Resolution

This Agreement is governed by the laws of Malaysia. In the event of a dispute:

  1. The parties will first attempt to resolve the matter through good-faith discussion within 30 days
  2. If unresolved, the parties may engage a mutually agreed mediator
  3. Unresolved matters shall be subject to the exclusive jurisdiction of the courts of Kuala Lumpur, Malaysia

14. General Provisions

  • Entire Agreement — this Agreement, together with any applicable SOW, constitutes the entire agreement between the parties on its subject matter
  • Severability — if any provision is found unenforceable, the remaining provisions continue in full effect
  • Waiver — failure to enforce any provision does not constitute a waiver of that right
  • Assignment — you may not assign your rights or obligations without our written consent
  • Force Majeure — neither party is liable for delays caused by events beyond reasonable control

15. Amendments to These Terms

We may revise these Terms from time to time. Material changes will be reflected in an updated "Last Updated" date at the top of this page. Continued use of our website or services following publication of changes constitutes your acceptance of the revised Terms. For active engagements, changes will be communicated directly.
